1. Acceptance of Terms

By downloading, installing, accessing, or using the TickerPilot Chrome extension and related services ("Service"), you accept and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you and TickerPilot ("Company", "we", "us", or "our").

2. Description of Service

TickerPilot is a Chrome extension designed to enhance your trading workflow for Pakistan Stock Exchange (PSX) stocks through integration with SCSTrade's TradingView charts. Our Service provides:

• Stock watchlist creation and management for PSX securities
• One-click chart access to SCSTrade TradingView platform without memorizing stock symbols
• Chart layout reference storage and synchronization across devices
• Integration with publicly available PSX delayed market data
• Organizational tools for efficient trading workflow management
• Secure cloud synchronization of user preferences and data

Important: TickerPilot is a utility tool for organization and workflow enhancement. We do not provide trading signals, investment advice, or financial recommendations of any kind.

3. User Eligibility and Account Requirements

To use TickerPilot, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Provide accurate and complete registration information
• Maintain a valid email address for account communications
• Create and maintain secure login credentials

You are responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activities that occur under your account, whether authorized or unauthorized
• Immediately notifying us of any suspected unauthorized account access
• Providing accurate and up-to-date account information

4. Subscription Plans and Features

TickerPilot offers two subscription tiers:

Feature and Pricing Changes: We reserve the right to modify subscription features, pricing, and plan structures at any time. Existing subscribers will be notified at least 3 days before any changes take effect. Price changes will not affect your current billing cycle.

5. Payment Terms and Billing

Premium subscriptions are processed through Paddle, our secure payment processor. By subscribing to Premium, you agree to the following:

• Monthly billing cycles beginning from your subscription date
• Automatic renewal unless cancelled before the next billing period
• All payments are processed securely by Paddle (we do not store payment information)
• Pricing is subject to applicable taxes and fees
• Failed payments may result in service suspension

Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to Premium features until the end of your current billing period, after which your account will revert to Basic plan features.

6. Acceptable Use Policy

You agree not to use TickerPilot to:

• Violate any applicable local, national, or international laws or regulations
• Infringe upon intellectual property rights of TickerPilot or third parties
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems, servers, or networks
• Reverse engineer, decompile, disassemble, or attempt to extract source code
• Use automated tools, bots, or scripts to access or interact with the Service
• Resell, redistribute, or commercially exploit the Service without permission
• Create false accounts or impersonate other users or entities
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest user information for unauthorized purposes

7. Data Use and Third-Party Integration

TickerPilot integrates with legitimate financial data sources and platforms:

• SCSTrade Integration: We facilitate access to SCSTrade's TradingView charts through legitimate API integrations and user-initiated actions
• PSX Data: We utilize publicly available delayed market data from Pakistan Stock Exchange released at end-of-day
• Authorized Sources: We may access data from authorized financial information providers including Investify, Sarmaaya, and other licensed PSX data distributors
• No Unauthorized Access: We do not engage in web scraping, unauthorized data mining, or breach any platform's terms of service

8. Intellectual Property Rights

TickerPilot and its original content, features, functionality, code, design elements, trademarks, and logos are owned by TickerPilot and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

9. Financial Disclaimer and Investment Risk Warning

CRITICAL DISCLAIMER: TickerPilot is a technology utility company and does NOT provide financial advice, investment recommendations, trading signals, or investment analysis of any kind.

By using TickerPilot, you explicitly acknowledge that you understand these risks and that all trading decisions are made independently based on your own research and judgment.

10. Service Availability and Performance

While we strive to provide reliable service, TickerPilot is provided "as is" and "as available." We do not guarantee that the Service will be:

• Available at all times without interruption
• Free from errors, bugs, or technical issues
• Compatible with all browser versions or operating systems
• Accessible during maintenance periods or system updates

We reserve the right to modify, suspend, or discontinue any aspect of the Service with or without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKERPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, or business opportunities
• Trading losses or investment losses of any kind
• Loss of data, information, or chart configurations
• Business interruption or loss of business goodwill
• Financial losses resulting from data inaccuracies, delays, errors, or omissions from PSX data files or third-party data providers
• Losses due to system failures, data feed interruptions, or technical issues with external data sources
• Missed trading opportunities due to delayed, incorrect, or unavailable market data
• Any other intangible losses or damages

Our total liability for any claims arising from your use of TickerPilot shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless TickerPilot, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any trading or investment decisions made using our organizational tools

13. Account Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe:

• Violates these Terms or our Acceptable Use Policy
• Is harmful to other users, us, or third parties
• Involves fraudulent or illegal activity
• Compromises the security or integrity of our Service

Upon termination, your right to use the Service will cease immediately. We may retain certain information as required by law or for legitimate business purposes.

14. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using TickerPilot, you consent to our data practices as described in our Privacy Policy, which is incorporated into these Terms by reference.

15. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or government actions.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in courts of competent jurisdiction.

You agree to first attempt to resolve disputes through good faith negotiations before pursuing formal legal proceedings.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through:

• Email notifications to registered users
• Prominent notices within the extension interface
• Updates to the "Last updated" date on this page

Your continued use of TickerPilot after changes to these Terms constitutes acceptance of the new terms. If you do not agree to the modified Terms, you must stop using the Service.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TickerPilot regarding the use of our Service and supersede all prior agreements and understandings.
